1. Acceptance of Terms

By accessing or using Keyroku ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

2. Description of Service

Keyroku is an HR management platform that provides:

  • Employee attendance tracking (check-in/check-out)
  • Leave management and approval workflows
  • Payroll calculation and management
  • Team and organizational hierarchy visualization
  • Employee recognition (Kudos) system
  • Reporting and analytics

3. User Accounts

3.1 Account Creation

To use the Platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Types

The Platform supports different user roles:

  • Employees: Can track attendance, request leave, view payroll, and participate in the Kudos system.
  • Managers: Can approve leave requests and view team reports.
  • Administrators: Have full access to configure the system, manage users, and generate reports.

3.3 Account Security

You are responsible for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Falsify attendance or other records
  • Access data you are not authorized to view
  • Attempt to bypass security measures
  • Interfere with the Platform's operation
  • Share your account credentials with others
  • Use automated tools to access the Platform without permission

5. Data and Content

5.1 Your Data

You retain ownership of the data you submit to the Platform. By using the Platform, you grant us a license to process your data as necessary to provide our services.

5.2 Data Accuracy

You are responsible for ensuring the accuracy of the data you submit, including attendance records, leave requests, and personal information.

5.3 Data Processing

We process your data in accordance with our Privacy Policy.

6. Payment and Billing

If your organization uses a paid subscription:

  • Fees are billed according to the selected plan
  • Payment is due as specified in your subscription agreement
  • We reserve the right to modify pricing with advance notice
  • Non-payment may result in service suspension

7. Intellectual Property

The Platform, including its design, features, and content (excluding user data), is owned by Keyroku and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice
  • Modify or discontinue features
  • Suspend service for technical or security reasons

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid for the service in the preceding 12 months

10. Indemnification

You agree to indemnify and hold Keyroku harmless from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

11. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination:

  • Your access to the Platform will be revoked
  • Your data may be deleted after a retention period
  • You remain responsible for any outstanding payments

12. Dispute Resolution

Any disputes arising from these Terms will be resolved through:

  • Good faith negotiation
  • Mediation if negotiation fails
  • Binding arbitration as a last resort

These Terms are governed by the laws of Egypt.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the modified Terms. We will notify users of material changes.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
